Website Terms and Conditions of Use

1. Agreement to Terms of Use
These Terms and Conditions of Use (the “Terms of Use”) apply to the web site located at www.usfuemsa.com, (the “Site”). These Terms of Use are a legal agreement between you (“You,” “Your”) and the University Emergency Medicine Student Association (“UEMSA”) and govern your use of the
Site and any products or services offered through the Site.

UEMSA may operate or offer products and services under the names ‘UEMSA’, ‘University Emergency Medical Student Association’, ‘University Emergency Medical Services Association’, and ‘USF EMS’ (collectively, “Other Names”). These Other Names are hereby incorporated into the definition of UEMSA as defined earlier in these Terms of Use.

BY USING THE SITE, YOU AGREE TO THESE TERMS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE SITE.

UEMSA reserves the right, at its sole discretion, to change, modify, add, or remove portions of these Terms of Use, at any time. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes. Any Dispute (as defined in Section 11) that arose before changes will be governed by the Terms of Use in place when the Dispute arose.

2. Content
UEMSA is a registered student organization at the University of South Florida (“USF”). UEMSA and its Other Names are property of UEMSA and registered with various departments, organizations, and services at USF.

UEMSA uses two logos (“Logos”) that are property of UEMSA: (1) an orange star-burst around the letters UEMSA and (2) a circle-shape patch with the organization’s name around a star of life with electrocardiogram rhythm. Any other logo bearing UEMSA or its Other Names shall also be incorporated into the definition of Logos and be covered by these Terms of Use.

All graphics, photographs, Logos, video, artwork, livery, computer code, or other media (collectively, “Content”) are owned, controlled, or licensed by UEMSA or used under Creative Commons licenses.

Except as expressly provided in these Terms of Use, no part of the Site and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way to any other computer, server, web site, or other medium for publication or distribution or for any commercial enterprise, without UEMSA’s express prior written consent.

3. Your use of the Site
You agree that you will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Site or any systems or networks connected to the Site or to UEMSA.

You agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of the Site or any transaction being conducted on the Site, or with any other person’s use of the Site.

You may not attempt to gain unauthorized access to any portion or feature of the Site, or any other systems or networks connected to the Site, or to any of the services offered on or through the Site, by hacking, password “mining”, or any other illegitimate means.

You may not use any “deep-link”, “page-scrape”, “robot”, “spider”, or other automatic device, program, algorithm, or methodology, or any similar or equivalent manual process, to access, acquire, copy, or monitor any portion of the Site or any Content, or in any way reproduce or circumvent the navigational structure or presentation of the Site or any Content, to obtain or attempt to obtain any materials, documents, or information through any means not purposely made available through the Site. UEMSA reserves the right to bar any such activity.

You may not probe, scan, or test the vulnerability of the Site or any network connected to the Site, nor breach the security or authentication measures on the Site or any network connected to the Site. You may not reverse look-up, trace, or seek to trace any information on any other user of or visitor to the Site, or any other customer of UEMSA, including any UEMSA Account (as defined in Section 6) not owned by you, to its source, or exploit the Site or any service or information made available or offered by or through the Site, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than your own information, as provided for by the Site.

You may not forge headers or otherwise manipulate identifiers in order to disguise the origin of any message or transmittal you send to UEMSA on or through the Site or any service offered on or through the Site. You may not pretend that you are, or that you represent, someone else, or impersonate any other individual or entity.

You may not use the Site or any Content for any purpose that is unlawful or prohibited by these Terms of Use, or to solicit the performance of any illegal activity or other activity which infringes the rights of UEMSA or others.

Neither the Names, Logos, or likeness of UEMSA may be used to endorse or promote products or services without specific prior written permission from UEMSA.

4. Privacy Policy 
Your privacy is important to UEMSA. Our Privacy Policy is incorporated into these Terms of Use. See the “Privacy Policy” tab.

5. Third Party Services and Links to Other Websites
UEMSA may offer products and services through or offered by other web sites, companies, or individuals (collectively, “Third Party Services”) that may directly or indirectly interact with the Site.

This Site may contain links to other independent third party web sites (“Linked Sites”). These Linked Sites are provided solely as a convenience to users of this Site. Such Linked Sites are not under UEMSA’s control, and UEMSA is not responsible for and does not endorse the content of the web site.

If you decide to interact with Third Party Services and Linked Sites, your interaction is subject to that service’s or site’s own terms, conditions, and policies. You are responsible for reviewing and understanding the terms and conditions for those services and sites. UEMSA makes no representations or warranties, express or implied, with respect to such third party products or services, and expressly disclaims any warranty or condition of merchantability, non-infringement, or fitness for a particular purpose. Further, you agree to resolve any disagreement between you and a third party, regarding the terms and conditions of any Third Party Services or Linked Site, with that third party directly in accordance with the terms and conditions of that relationship, and not UEMSA.

UEMSA’s Privacy Policy (Section 4) does not cover interactions with Third Party Services and Linked Sites. You will need to make your own independent judgment regarding your interaction with the services and web sites.

UEMSA does not receive monetary or other forms of compensation for the use of Third Party Services or Linked Sites.

6. Accounts, Passwords, and Security
The Site may require you to create an account (“Account”) to access certain features or services. During registration of your Account, UEMSA may ask for your Personal Information. It is your responsibility to provide accurate and complete information, and to keep that information current.

You are entirely responsible for maintaining the confidentiality of the information you hold for your Account, including your username and password “(Account Information”), and for any and all activity that occurs under your Account. You agree to notify UEMSA immediately of any unauthorized use of your Account Information, or any other breach of security. You may be held liable for losses incurred by UEMSA or any other user of or visitor to the Site due to someone else using your username, password, or Account as a result of your failing to keep your Account Information secure and confidential. You may not use anyone else’s username, password, or Account at any time without the express permission and consent of the holder of that Account Information. UEMSA cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.

Under no circumstances will UEMSA be responsible for any damage, loss, or injury resulting from hacking, tampering, or other unauthorized access or use of your Account, or the information contained therein. UEMSA reserves the right to change the Account type, suspend, or terminate the Account of anyone who misuses their account, provides inaccurate, untrue, or incomplete information, or who fails to comply with the Account registration requirements.

Should you wish to deactivate your Account, please contact the webmaster at [email protected] to submit your deactivation request. Your Account will be deactivated within fourteen (14) days after receiving your request. The Personal Information provided to UEMSA when registering for the Account and the account activity may be retained by UEMSA indefinitely. UEMSA cannot reactive an Account or change Personal Information after a deactivation request is processed.

7. Purchasing, Registration, and Application Special Terms and Conditions
Additional terms and conditions may apply to purchases of goods or services and to specific portions or features of the Site, (including but not limited to registration for products, services, employment or volunteer applications, contests, promotions, or other similar features), all of which terms are made a part of these Terms of Use by this reference. You agree to abide by such other terms and conditions, including where applicable representing that you are of sufficient legal age to use or participate in such product, service, or feature. If there is a conflict between these Terms of Use and the terms posted for or applicable to a specific portion of the Site or for any product or service offered on or through the Site, the latter terms shall control with respect to your use of that portion of the Site or the specific product or service.

UEMSA’s obligations, if any, with regard to its products and services are governed solely by the agreements pursuant to which they are provided, and nothing on this Site should be construed to alter such agreements. UEMSA may make changes to any products or services offered on the Site, or to the applicable prices for any such products or services, at any time, without notice. The materials on the Site with respect to products and services may be out of date, and UEMSA makes no commitment to update the materials on the Site with respect to such products and services.

8. Medical Advice
This section of the Terms of Use also applies to postings or other information displayed on UEMSA’s social media accounts.

The Contents of and any other information on the Site are for informational purposes only. The Content or other information is not intended to be a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified healthcare provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay seeking advice or treatment because of something you have read on the Site. If you think you may have a medical emergency, call your doctor or 911 (or equivalent emergency service) immediately.

UEMSA does not recommend or endorse any specific tests, physicians, products, procedures, opinions, or other information that may be mentioned on the Site. Reliance on any medical related information provided by UEMSA, its officers, predecessors, successors in interest, employees, affiliates (not including USF), others appearing on the Site at the invitation of UEMSA, or other visitors to the Site is solely at your own risk.

9. Disclaimers
UEMSA does not promise that the Site, any Content, or feature of the site will be error-free or uninterrupted, or that any defects will be corrected, or that your use of the Site will provide specific results. The Site and its Content are delivered on an “as-is” and “as-available” basis. All information provided on the Site is subject to change without notice.

UEMSA cannot ensure that any files or other data you download from the Site will be free of viruses, contamination, and/or destructive features.

UEMSA disclaims all warranties, express or implied, including any warranties of accuracy, non-infringement, merchantability, and fitness for a particular purpose. UEMSA disclaims any and all liability for the acts, omissions, and conduct of any third parties in connection with or related to your use of the site and/or any UEMSA products or services.

You assume total responsibility for your use of the Site, Third Party Services, and any Linked Sites. Your sole remedy against UEMSA for dissatisfaction with the Site or any Content is to stop using the Site or any such Content. This limitation of relief is a part of the bargain between the parties.

The above disclaimers apply to any damages, liability, or injuries caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction of or unauthorized access to, alteration of, or use, whether for breach of contract, tort, negligence or any other cause of action.

UEMSA reserves the right to do any of the following, at any time, without notice: (a) modify, suspend, interrupt, or terminate operation of or access to the Site, or any portion of the Site, for any reason; (b) to modify or change (i) the Site, (ii) any portion of the Site, (iii) any information on the site, and (iv) any applicable policies or terms.

10. Limitation of Liability
Except where prohibited by law, in no event will UEMSA be liable for any direct, indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, that result from the use of, inability to use, or unavailability of the Site. In all cases, UEMSA will not be liable for any loss or damage that is not reasonably foreseeable.

Under no circumstances will UEMSA be responsible for any damage, loss, or injury resulting from hacking, tampering, or other unauthorized access or use of the Site.

If, notwithstanding the other provisions of these Terms of Use, UEMSA is found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of the Site or any Content, UEMSA’s liability shall in no event exceed the greater of (a) the total of any subscription or similar fees with respect to any service, product, or feature of or on the Site paid in the six (6) month period immediately preceding the event giving rise to the claim for liability, or (b) US$35.00.

This limitation of liability section applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if UEMSA has been advised of the possibility of such damage. The foregoing limitation of liability will apply to the fullest extent permitted by law in the applicable jurisdiction.

11. Indemnity & Dispute Resolution
You agree to indemnify and hold UEMSA, its officers, predecessors, successors in interest, employees, and affiliates (including USF), harmless from any damages, loss, liability, claims, or expenses (including attorneys’ fees), made against UEMSA by any third party due to or arising out of or in connection with your use of the Site.

A “Dispute” is defined as any claim, controversy, or disagreement between you and UEMSA, its officers, predecessors, successors in interest, employees, and affiliates (not including USF). Any Disputes under these Terms of Use must be brought within six (6) months after the cause of action arises, or such claim or cause of action is barred.

In the event of any Dispute between UEMSA and you arising out of or in connection with your use of the Site, the parties shall attempt, promptly and in good faith, to resolve any such Dispute. If any such Dispute is unable to be resolved within a reasonable time (not to exceed thirty (30) days), then either party may submit such Dispute to mediation. If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.

You agree that all matters relating to your access to or use of the Site, including all Disputes, will be governed by the laws of the United States and by the laws of the State of Florida without regard to its conflicts of law provisions. You agree to the personal jurisdiction by and venue in the state and federal courts in Hillsborough County, Florida, and waive any objection to such jurisdiction or venue.

Any Dispute will be made on an individual basis; class arbitrations, class actions, representative actions, and consolidation with other Disputes are not permitted. You waive your right participate in a class action against UEMSA.

12. Violation of Terms of Use
UEMSA may disclose any information it has about you (including your identity) if it determines that such disclosure is necessary in connection with any investigation or complaint regarding your use of the Site, or to identify, contact, or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) UEMSA’s rights or property, or the rights or property of visitors to or users of the Site.

You agree that UEMSA may, in its sole discretion and without prior notice, terminate your access to the Site and/or block your future access to the Site if it determines that you have violated these Terms of Use or other agreements or guidelines which may be associated with your use of the Site. You also agree that any violation by you of these Terms of Use will constitute an unlawful and unfair business practice, and will cause irreparable harm to UEMSA, for which monetary damages would be inadequate, and you consent to UEMSA obtaining any injunctive or equitable relief that UEMSA deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies UEMSA may have at law or in equity.

You agree that UEMSA may, in its sole discretion and without prior notice, terminate your access to the Site, for cause, which includes, but is not limited to: (a) requests by law enforcement or other government agencies, (b) a request by you (self-initiated account deletions), (c) discontinuance or material modification of the Site or any product or service offered on or through the Site, or (d) unexpected technical issues or problems.

If UEMSA does take any legal action against you as a result of your violation of these Terms of Use, UEMSA will be entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to UEMSA. You agree that UEMSA will not be liable to you or to any third party for termination of your access to the Site as a result of any violation of these Terms of Use.

UEMSA’s failure to insist on or enforce strict performance of these Terms of Use shall not be construed as a waiver by UEMSA of any provision or any right it has to enforce these Terms of Use, nor shall any course of conduct between UEMSA and you or any other party be deemed to modify any provision of these Terms of Use. These Terms of Use shall not be interpreted or construed to confer any rights or remedies on any third parties.

13. Miscellaneous
If any of the provisions of these Terms of Use are held by a court or other tribunal of competent jurisdiction to be void or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these
Terms of Use, so that these Terms of Use shall remain in full force and effect.

These Terms of Use constitute the entire agreement between you and UEMSA with regard to your use of the Site, and any and all other written or oral agreements or understandings previously existing between you and UEMSA with respect to such use are hereby superseded and cancelled. Other than as provided in a purchase/registration/application agreement you enter into with UEMSA, UEMSA will not accept any counter-offers to these Terms of Use, and all such offers are hereby categorically rejected.

14. Feedback and Information
Any feedback you provide to this site shall be deemed to be non-confidential. UEMSA shall be free to use such information on an unrestricted basis.

Privacy Policy

Your privacy is important to UEMSA. This privacy statement explains the information UEMSA collects and how that information is used.

i. Privacy Intro
By using the Site, you acknowledge and agree that internet transmissions are never completely private or secure. You understand that any message or information you send to the Site may be read or intercepted by others, even if there is a special notice that a particular transmission is encrypted.

UEMSA may collect information from you, directly and indirectly, from your interaction with the Site and other products and services connected to the site. The information we collect depends on the context of your interactions with UEMSA and the choices you make and the products and services you use.

UEMSA offers products and services through, or offered by, other web sites, companies, or individuals (collectively, “Third Party Services”) that may directly or indirectly interact with the Site. These parties include, but may not be limited to: Bluehost [of Endurance International Group] (“bluehost”); Bubble Group, Inc. (“Bubble”); Eventbrite, Inc. (“Eventbrite”); Google, LLC (“Google”) [a subsidy of Alphabet, Inc.]; Microsoft Corporation (“Microsoft”); PayPal, Inc. (“PayPal”); Square, Inc. (“Square”); Webs (“Webs”) [a subsidy of Vistaprint Netherlands B.V.]; and WordPress.org (“WordPress”). UEMSA may obtain information about you from these Third Party Services if you interact with them.

If you decide to interact with Third Party Services, your interaction is subject to that service’s or site’s own terms, conditions, and policies. This Privacy Policy does not cover interactions with Third Party Services. You are responsible for reviewing and understanding the terms and conditions for those services and sites. UEMSA makes no representations or warranties, express or implied, with respect to such third party products or services, and expressly disclaims any warranty or condition of merchantability, non-infringement, or fitness for a particular purpose.

You agree to resolve any disagreement between you and a third party, regarding the terms and conditions of any Third Party Services, with that third party directly in accordance with the terms and conditions of that relationship, and not UEMSA.

ii. Site Host
The Site is hosted by bluehost and WordPress (“Hosts”). By continued use of the Site, you agree to WordPress’ and bluehost’s privacy policy (https://wordpress.org/about/privacy/) and (https://endurance.clarip.com/privacycenter/?brand=bluehost) regarding their use of information obtained from you through your use of the Site. Hosts do not control or monitor collection and usage of Personal Information obtained by UEMSA.

If the Site is hosted by a program other than bluehost and WordPress (“Other Host”) upon your visit and interaction with the Site, then the privacy policy of the Other Host program will supersede any affected sections in this Privacy Policy until such policy can be revised. UEMSA makes no claim that this Privacy Policy will be updated with the information of the Other Host.

If changes to Host’s privacy policy nullifies or contradicts sections of this Privacy Policy, then the changes shall supersede the affected sections of this Policy until such policy can be revised.

iii. Collection and Use of Personal Information
Personal information is data that can be used to identify or contact a single person (“Personal Information”). This information may include, but is not limited to, your legal name, phone number, email address, mailing address, date of birth, and other information you may find personal.

UEMSA does not collect Personal Information about you when you visit the Site, unless you affirmatively choose to make such information available. You may be asked to provide your Personal Information anytime you are (a) in contact with UEMSA or a UEMSA affiliate, (b) creating an Account (as defined by Section 6), (c) registering or applying for a class, course, program, product, or service offered by UEMSA or a UEMSA affiliate, or (d) purchasing or requesting a product or service offered by UEMSA or a UEMSA affiliate.

UEMSA and its affiliates may share this Personal Information with each other and use it consistent with this Privacy Policy. Personal Information may also be used (a) for internal purposes such as auditing, data analysis, and research to improve UEMSA’s programs, products, services, and customer communications, (b) to verify identity (such as the date of birth for age-restricted programs), and (c) in conjunction with other information to provide and improve UEMSA’s products, services, and content.

If UEMSA received any information, including Personal Information, about you, from another person, web site, or service, UEMSA may validate that information (a) with any Personal Information you have already provided to UEMSA and/or (b) by requesting Personal Information from you.

You are not required to provide the Personal Information requested, but, if you chose not to do so, in many cases UEMSA will not be able to provide you with our offerings, products, or services or respond to any queries you may have.

Under Florida law, email addresses are public record. If you do not want your email address released in response to a public-records request, do not send electronic mail to UEMSA and its affiliates. Instead, make contact in writing.

iv. Collection and Use of Non-Personal Information
Non-personal information is data in a form that does not, on its own, permit direct association with any specific individual (“Non-Personal Information”). UEMSA may collect, use, transfer, and disclose Non-Personal Information for any purpose.

Hosts and other Third Party Services connected to the site may collect Non-Personal Information about you when you visit and interact with the Site. This information may include, but is not limited to, your browser type, operating system, Internet Protocol (IP) address, domain name, internet service provider (ISP), referring and exit websites and applications, clickstream data, and/or a date and time stamp of your visit.

The Non-Personal Information may be obtained by Hosts, other Third Party Services, or UEMSA through the use of cookies, analytic services, and/or other tracking technologies. Rejecting, disabling, or removing cookies can typically be achieved through your browser settings. Certain parts of the Site may not work properly or at all if your browser is set to not accept cookies. Analytic services used by Hosts and other Third Party Services may be rejected by built-in browser settings or the instillation of a browser plugin. UEMSA disclaims any and all liability for your use of browser plugins. Hosts’ servers may not respond to “do not track” requests or other similar mechanisms that might enable you to opt out of tracking.

Non-Personal Information may be accessible to UEMSA. Hosts and UEMSA may use the information to (a) understand and analyze trends, (b) administer the Site and its Content, (c) learn about user behavior on the Site, and (d) improve products or services offered by Hosts or UEMSA. UEMSA may also use this information in its marketing and advertising services.

v. Disclosure of Information
At times, UEMSA may provide third parties with certain Personal Information to provide, deliver, and/or improve its products and services. Personal Information will never be shared with third parties for their advertising or marketing purposes. UEMSA will never use your Personal Information for its advertising or marketing purposes unless you affirmatively choose to allow such information to be used.

UEMSA reserves the right at all times to disclose any information it has about you that it deems necessary (including your identity) to comply with any applicable law, regulation, legal process or governmental request. UEMSA also may disclose your information when it determines that applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes.

You acknowledge and agree that UEMSA may preserve any transmittal or communication by you with UEMSA through the Site or any service offered on or through the Site, and may also disclose such data if required to do so by law or UEMSA determines that such preservation or disclosure is reasonably necessary to (a) comply with legal process, (b) enforce the Terms of Use, (c) respond to claims that any such data violates the rights of others, or (d) protect the rights, property or personal safety of UEMSA, its officers and affiliates, users of or visitors to the Site, and the public.

vi. Retention of Information
UEMSA may retain your Personal Information indefinitely and makes no established timeline for deletion. Some Personal Information used for services or products offered by UEMSA may need to be retained for legal or record keeping requirements set by third parties or UEMSA.

vii. Monetary Transactions
UEMSA conducts monetary transactions through PayPal and Square. All transactions are subject to their respective service. UEMSA never receives your credit card number.

viii. Our Commitment to Your Privacy
To make sure your Personal Information is secure, we communicate our privacy and security guidelines to UEMSA officers and employees and strictly enforce privacy safeguards within the organization.

Course Disclaimers, Terms, and Conditions

UEMSA abides by the Standards for Student Organization Conduct outlined by USF Student Government. UEMSA programs, courses, and classes are conducted in a manner that abides to the Student Code of Conduct outlined by the USF System.

UEMSA is a certified training center to offer the Emergency Medical Responder (EMR) course under the guide of the Emergency Care and Safety Institute (ECSI), a division of Jones & Bartlett Learning, LLC. UEMSA contracts ECSI instructors to offer the EMR course under the UEMSA name. The course syllabus, duration, policies, completion requirements, and fees are set by UEMSA.

UEMSA contracts instructors from the American Heart Association (AHA) to provide cardiopulmonary resuscitation (CPR) classes.
AHA Disclaimer: “The American Heart Association strongly promotes knowledge and proficiency in all AHA courses and has developed instructional materials for this purpose. Use of these materials in an educational course does not represent course sponsorship by the AHA. Any fees charged for such a course, except for a portion of fees needed for AHA course materials, do not represent income to the AHA.”

UEMSA has no obligation to offer an EMR or CPR course and makes no guarantee that an EMR or CPR course will be offered in the future. The details of a future course can be modified at any time for any reason. Future courses and in-session courses can be canceled at any time for any reason.

If a future course or in-session course is canceled, and payments have been made by the student, a full refund of all payments will be made within thirty (30) days of the cancelation date, unless another agreement is made between the student and UEMSA.

The EMR course is bound to the terms set forth in the syllabus for the specific semester. A copy of the syllabus can be provided upon request. Agreement to the terms is assumed if a student participates in the course after the first day of class. If a student wishes to leave the course, for any reason, they shall contact the lead instructors (as directed in the syllabus).
